Terms of Service

1. Acceptance of Terms

By creating an account or using the School Proofing platform ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and School Proofing, LLC ("we", "us", or "School Proofing").

2. The Service

School Proofing is a software-as-a-service platform for managing alternative-education records, including attendance logs, compliance documentation, ESA expense tracking, assessments, and related reporting. The Service is provided "as is" and may evolve over time.

School Proofing is not a school, an accrediting body, or a legal advisor. Compliance requirements vary by state and program; you remain responsible for meeting the requirements that apply to your situation.

3. Your Account

You must provide accurate registration information and keep it current. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately if you suspect unauthorized access.

Accounts are personal to the registered user or institution. You may not share login credentials or transfer your account without our written consent.

4. Data Ownership

You own your data. Records you create or upload — including student information, attendance logs, documents, assessments, and expense receipts — remain yours. We hold a limited license to host, process, and display that data solely so we can operate the Service for you.

You may export your data in a portable format at any time. If you cancel your account, you may request a final export within 30 days of cancellation. After that period, we may delete your data in accordance with our retention policy.

5. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual cycle, depending on the plan you select. Subscriptions renew automatically until canceled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

We may change plan pricing or features. Material changes to your plan will be communicated in advance. If a price change applies to your renewal, you will be notified before the next renewal occurs.

Refunds are not provided for partial billing periods. If you believe you have been billed in error, contact us within 30 days and we will review the charge in good faith.

6. Acceptable Use

You agree not to:

• Use the Service to violate any law or third-party right
• Upload data you do not have the right to store, including student records you are not authorized to manage
• Reverse engineer, scrape, or attempt to access non-public portions of the Service
• Use the Service to send spam, phishing attempts, or malicious content
• Resell or sublicense the Service without written permission

7. Suspension and Termination

We may suspend or terminate accounts that violate these Terms, place the Service or other users at risk, or fail payment after a reasonable cure period. Where practical, we will provide notice and an opportunity to correct the issue before termination.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that records will satisfy any specific regulatory requirement.

9. Limitation of Liability

To the maximum extent permitted by law, School Proofing's total liability for any claim arising out of or related to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless School Proofing, its officers, employees, and contractors from any claim arising out of your use of the Service, your data, or your violation of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Nevada, and you consent to that jurisdiction.
